Confidentiality

In consideration for my temporary, part-time or full-time employment, or other engagement (whether direct or through a third-party agency or loan-out company) by PPS Inc. Company or division, subsidiary, or affiliate thereof (the “Company”), and in addition to any other obligations I may have to the Company or any affiliate thereof, at all times during the term of my employment or other engagement with the Company and thereafter, I hereby agree:

  1. To hold in strictest confidence and not disclose to any person, firm, corporation or other entity, without express authorization of a corporate officer of the Company, any confidential and/or proprietary information or trade secret relating to the products, sales, transactions, litigation, communications, practices, policies, contracts, records, business, prospects, assets, intellectual property or other property, right or obligation of any nature whatsoever (whether similar or dissimilar to any of the foregoing) of the Company or any affiliate thereof (the “Confidential Information”) and not to use, directly or indirectly, any of the Confidential Information for my own or anyone else’s benefit during the term of my employment or other engagement by the Company or thereafter.
  2. To deliver to the Company (and not to keep in my possession or deliver to anyone else) at the time of termination of my services for the Company, any and all documents, records, treatments, plans, scripts, or any other material whatsoever (and all copies thereof) in written or other physical form (whether similar or dissimilar to any of the foregoing) connected with, or obtained pursuant to, my employment or other engagement by the Company or relating to the business of the Company or any of its affiliates or to any of the Confidential Information.
  3. In case of interruption of my employment or other engagement with the Company for any reason whatsoever, this agreement, upon re-employment or re-engagement by the Company or any affiliate thereof, will be in full force and effect unless specifically superseded by a new agreement.
